HMS Networks AB (publ.) held its Annual General Meeting on April 30, 2008. The Meeting resolved in favor of all proposed matters in accordance with the proposals of the Board of Directors. The main contents of the most important resolutions are described below. Resolution regarding dividend The Meeting resolved to approve the Board of Directors' proposal of a dividend for fiscal year 2007 of SEK 1.0 per share. May 6 2008 was set as the record date for the dividend. It is expected that the dividend will be disbursed by VPC AB on May 12, 2008. Resolution regarding adoption of the income statement and balance sheet The Meeting resolved to adopt the income statement and balance sheet of HMS Networks AB submitted by the Board of Directors as well as the consolidated income statement and balance sheet. The Board and the President were discharged from liability for the 2007 fiscal year. Resolution regarding election of the Board, auditors and fees The Annual General Meeting resolved in accordance with the Nominating Committee's proposals, namely * that five (5) Board members should be elected and no deputy members, * that the following Board members should be re-elected: Ray Mauritsson, Sebastian Ehrnrooth and StaffanDahlström * that Göran Sigfridsson is elected as new board member * that Urban Jansson should be re-elected as Chairman of the Board * that fees totaling SEK 525 000 shall be paid to the Board to be distributed among members who are not employees of the Company, with SEK 225 000 to the Chairman and SEK 100 000 to each Board member. It was noted that Öhrlings PricewaterhouseCoopers AB, with the Authorized Public Accountant, Olof Enerbäck as auditor in charge, was appointed as auditor at the Annual General Meeting 2005, for a period of four years. Resolution regarding guidelines for determining salaries and other remuneration to the President and other members of company management The Meeting approved the Board's proposal of guidelines for determining salaries and other remuneration to the President and other persons in company management. Resolution regarding criteria relating to appointment of members to the Nominating Committee, etc. The Annual Meeting adopted the Board's proposal of criteria relating to appointment of members to the Nominating Committee. All of the Annual Meeting's resolutions were passed with the requisite majority.
